These Terms of Service ("Terms") govern your access to and use of the Mori website at heymori.ai and the Mori service (together, the "Service"), provided by Mori ("Mori," "we," "us," or "our"). Please read them carefully.
1. Acceptance of terms
By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Mori is an AI-powered relationship-memory tool that helps you capture and recall context about your professional contacts. The Service is in an early stage of development and is provided on an "as is" and "as available" basis. Features may change, and the Service may be unavailable or discontinued, at any time and without notice.
3. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service, and you must use it for business or professional purposes. If you use the Service on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
4. Your account
You are responsible for maintaining the confidentiality of your account and credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date. Notify us promptly at hi@heymori.ai of any unauthorized use of your account.
5. Your content
You retain ownership of the content you send to or store in the Service ("Your Content"). You grant Mori a limited, non-exclusive license to host, store, process, and use Your Content solely to provide and improve the Service for you. You represent and warrant that you have all rights necessary to submit Your Content to the Service and to grant this license, and that doing so does not violate any law or the rights of any third party.
6. AI-generated output
The Service uses artificial intelligence to generate drafts, suggestions, and other output. This output may be inaccurate, incomplete, or otherwise unsuitable, and is provided for your review. Mori does not send messages or take actions on your behalf without your involvement. You are solely responsible for reviewing and deciding whether to rely on or use any output.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Submit content you do not have the right to submit, or that infringes or violates the rights of others;
- Attempt to disrupt, interfere with, or gain unauthorized access to the Service or its systems;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law; or
- Use the Service to build a competing product or to misuse others' personal information.
8. Fees
The Service is currently offered free of charge or as part of a limited beta. If we introduce paid plans, we will present the applicable pricing and billing terms (processed through our payment provider) before you are charged.
9. Feedback
If you provide us with feedback, suggestions, or ideas about the Service, we may use them for any purpose without any obligation or compensation to you.
10. Intellectual property
The Service, including its software, design, and trademarks, is owned by Mori and is protected by intellectual-property laws. Except for the rights expressly granted to you to use the Service, we reserve all rights, title, and interest in and to the Service.
11. Third-party services
The Service relies on third-party services and may link to third-party websites. We are not responsible for the availability, content, or practices of any third-party services, and your use of them is at your own risk and subject to their terms.
12. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MORI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US$100).
15. Indemnification
You agree to indemnify and hold harmless Mori from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or applicable law.
16. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without notice, including if we believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive will survive.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Service after changes take effect means you accept the updated Terms.
19. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and Mori regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may provide notices to you by email or by posting them within the Service.
